Edgewood REIT

Edgewood REIT has acquired an attractive portfolio of multi-family and senior housing properties. At the inception of Edgewood REIT, the founders also created an operating partnership by the name of Edgewood Properties, LLLP. The partnership was created to allow individuals to contribute properties to the REIT on a tax deferred basis. The General Partner of the partnership is Edgewood REIT and partners in the partnership and shareholders in the REIT have identical financial interests. In addition, for accounting purposes, the partnership assets and REIT assets are consolidated. As of December 31, 2016, Edgewood REIT’s balance sheet reflects over $425,000,000 of assets and over $165,000,000 of equity. Not only has Edgewood REIT been successful in acquiring real estate assets, it has acquired real estate assets which continue to generate a strong return to the investors in the REIT. This has allowed the Board of Trustees to increase the dividend payout from $.57 cents a share in 2010 to the current $.86 cents a share (as of March 31, 2015). In addition, the REIT continues to provide financial performance which results in dividend coverage well in excess of the dividend payout. The Board of Trustees meets on a quarterly basis and approves all acquisitions and disposition of real property. In addition, the Board of Trustees declare the quarterly dividend and, at least on an annual basis, meets to consider an increase in the dividend payout.

Phil Gisi

Phil Gisi, President of Edgewood Real Estate Investment Trust, is the majority owner and Chairman/CEO of Edgewood Group, LLC, which develops, operates, and manages senior housing communities. Over the past 22 years, Edgewood Group has grown into one of the largest privately-held senior housing operator in the upper Midwest, with operations in Idaho, Minnesota, Montana, Nebraska, North Dakota, South Dakota, and Wyoming. The company currently employs about 2,500 people, and operates 55 communities with 3,461 beds. Gisi was raised on a farm near New Rockford, ND and is a 1982 graduate of the University of North Dakota with a Bachelor of Science in Business Administration and a Major in Accounting. Gisi first served as the CFO for an oil field service and construction company, then spent 10 years working for St. Joseph’s/UniMed Medical Center in Minot, ND, where he was the Vice President/CFO and later President/CEO. Gisi first joined Edgewood as an investor and CFO in 1994, then joined the company full time in early 1996. Gisi served as a board director of Tulsa, OK-based Cypress Energy Partners LP (NYSE:”CELP”) from 2013 to 2016, and is an advisor to the board of directors of Red Trail Energy LLC, a 50 million gallon ethanol plant located in Richardton, North Dakota. Gisi is a community board member and Secretary of Altru Health Systems of Grand Forks, a board member of the University of North Dakota Alumni Association Foundation, a board trustee of the UND Center for Innovation Foundation, and a member of the Alumni Advisory Council of UND’s School of Business and Public Administration. Phil and his wife, Patricia, have two children and live in Grand Forks, ND.

Rex Carlson

Rex Carlson, Chief Financial Officer of Edgewood Properties Management LLC, is responsible for the organization’s financial strategy and execution. A former tax partner with Eide Bailly, LLP and personal advisor to the shareholders of R.D. Offutt Company, he has spent much of his career advising high-wealth individuals and mid-sized businesses on all aspects of finance, tax, business development and operations. A native North Dakotan, Mr. Carlson holds a bachelor of business administration degree in accounting from the University of North Dakota and a master of business taxation degree from the University of Minnesota Carlson School of Management. He is a certified public accountant and holds licenses in North Dakota and Minnesota (Inactive). He is a member and past president (2003-2004) of the Fargo Rotary. He has broad experience serving on various nonprofit boards and, among numerous others, currently serves as VP-Administration for the Northern Lights Council of the Boy Scouts of America.

Roger Domres

Roger W. Domres, Executive Vice President and Marketing Director of Edgewood Properties Management LLC. Mr. Domres serves as Advisor to Edgewood Real Estate Investment Trust and Marketing Director for the company. Prior to cofounding Edgewood REIT, Mr. Domres founded and managed INREIT Real Estate Investment Trust. He has been involved in the Real Estate Investment Trust business since 1990, beginning his career with Investors Real Estate Investment Trust where he served as Marketing Director raising capital for the firm and assisting in taking IRET public in 1997. His involvement in Investment Banking spans a 25 year career raising capital for many private and public companies.A native of North Dakota, Mr. Domres was raised in Towner ND where his family was involved in the Newspaper business for over 60 years.

Lynn Watson


Lynn Watson serves as Vice President, Director of Acquisitions & Asset Management. He previously was Senior Director of Acquisitions for DBSI. Prior to that he was Director of Acquisitions & Asset Management for INREIT and Vice President of Acquisitions for IRET. He has extensive experience in asset management, acquisitions/dispositions of real estate. Lynn is a 1982 graduate of the University of North Dakota (UND) with a Bachelor of Science degree in business administration, major in banking and finance.
